TERMS & CONDITIONS

These terms and conditions (hereinafter referred to as ‘T&C’) govern the use of Simply Unique Pte Ltd products and services (hereinafter referred to as ‘Products’) including but not limited to international data plan and prepaid eSIM. Simply Unique Pte Ltd is a dedicated technology company that provides IT network services, consultancy and security products.

The trademarks, service marks, trade names, and logos (‘Marks’) used and displayed on our Products and/or Services are registered and unregistered trademarks of Simply Unique Pte Ltd and its affiliates. Spaceroam is a registered trademark of Simply Unique Pte Ltd.

By accessing or using the Website (“www.spaceroam.com”) or downloading and using the mobile application known as Spaceroam App (“App”), you agree that you have read and understood the following terms and conditions of use (“Terms”). You further agree to be bound by these Terms which shall constitute a legally binding agreement between you and Simply Unique Pte Ltd.

We may amend or modify these Terms at any time at our sole discretion without prior notice, and such amendments or modifications shall be effective immediately upon posting of the modified Terms. You agree to review the Terms periodically to be aware of such amendments or modifications and your continued access to or use of the Website or the App shall be deemed your conclusive acceptance of the amended or modified Terms.

CUSTOMER RESPONSIBLE FOR INFORMATION

Customer confirm that all information provided are accurate as of the date of provision, reservation and/or purchase. Customer agree to indemnify, defend and hold Simply Unique Pte Ltd and its affiliates, and their respective officers, directors, agents, information providers and licensors (collectively, the “Indemnified Parties”) harmless from and against any, and all claims, liabilities, losses, costs and expenses (including attorneys’ fees) incurred by any Indemnified Party in connection with any breach by you of these terms and conditions as well as the Privacy Policy.

REGISTRATION FOR USING SPACEROAM SERVICES

The Customer must accept the General Terms and Conditions to use Simply Unique Pte Ltd services. The App and Website including the subdomains, features, contents and any affiliated websites belong to and are operated by Simply Unique Pte Ltd.

ACCESS AND USE OF APP AND WEBSITE

Simply Unique Pte Ltd does not warrant the uninterrupted availability of the App, Website, Products and/or Services. Simply Unique Pte Ltd shall not be liable to Customer if the App, Website, Products and/or Services are not available at any time or period.

The service contract between Simply Unique Pte Ltd and the Customer begins upon completing the order at the Spaceroam’s website https://www.spaceroam.com or via the Spaceroam’s app. The activation of the eSIM and acknowledgment of the Activation Policy is the Customer’s responsibility.

The contract will be terminated if the Customer does not have an active data package or has deleted the eSIM from the target device.

By using the App, Website, Content, Products and/or Services, Customer agree to the following:

• Customer will not use the App, Website, Content, Products and/or Services to cause nuisance, annoyance, inconvenience or make fake bookings.
• Customer will not use the App or Website for purposes other than for obtaining the Products and/or Services.
• Customer will comply with any guidelines provided by Simply Unique Pte Ltd for the use of the App, Website, Products and/or Services.
• Customer will only use the App, Website, Products and/or Services for the purposes for which they are intended to be used.
• Customer will not try to harm the App, Website, Content, Products and/or Services in any way whatsoever.
• Customer will provide Simply Unique Pte Ltd with proof of identity as it may reasonably request or require.
• Customer will only use the App, Website, Products and/or Services for lawful purposes.
• Customer will not copy or distribute any software or other content associated with or related to the App or Website without prior written permission from Simply Unique Pte Ltd.
• Customer will keep secure and confidential any account password or any identification we provide you which allows access to the App, Website, Products and/or Services.
• Customer will not use the App, Website, Products and/or Services for sending or storing any unlawful material or for fraudulent purposes.
• Customer agree to provide current, accurate, and complete information as required for the App, Website, Products and/or Services and to update your information in a timely manner to keep it current, accurate, and complete at all times for the duration of this agreement.
• Customer agree that Simply Unique Pte Ltd may rely on your information as current, accurate and complete. Customer acknowledge that if your information is untrue, inaccurate, not current or incomplete in any respect, Simply Unique Pte Ltd has the right to terminate this agreement and your use of the App, Website, Products and/or Services at any time without notice.
• Customer shall not employ any means to defraud Simply Unique Pte Ltd or enrich yourself, through any means, whether fraudulent or otherwise, through any event, promotion, promo code or campaign launched by Simply Unique Pte Ltd to encourage new subscription or usage of the Products and/or Services by new or existing customers.
• Customer are aware that when requesting for any Products and/or Services by SMS or use of the Products and/or Services, standard telecommunication charges will apply unless otherwise stated.
• Customer shall not cause a nuisance or behave in an inappropriate or disrespectful manner towards Simply Unique Pte Ltd regardless of any misgivings that you may have against Simply Unique Pte Ltd.
• Customer shall not impair or circumvent the proper operation of the network(s) which the App, Website, Products and/or Services operate on.
• Customer agree that the App, Website, Products and/or Services are provided on a reasonable effort basis.
• Customer agree that your use of the App, Website, Products and/or Services will be subject to the Simply Unique Pte Ltd’s Privacy Policy as may be amended from time to time.
• Customer agree to assume full responsibility and liability for all loss or damage suffered by yourself, any merchant, third-party service provider, Simply Unique Pte Ltd or any third party as a result of any breach of the Terms by you.

When the Customer breaches its obligations, Simply Unique Pte Ltd may suspend the Customer’s use of the Service. During any period of suspension, the Customer shall continue to pay all Charges due under this Agreement in respect of the suspended services.

DEVICE COMPATIBILITY

The Customer is responsible for ensuring that their device is eSIM compatible and network-unlocked. Device compatibility may depend on the carrier and country of origin, the Customer must check the list of eSIM-compatible devices provided in the App and Website.

The eSIM compatibility list is not exhaustive, meaning newly announced eSIM-compatible devices may still need to be added.

CHARGES AND PAYMENT METHODS

The supported payment methods for Simply Unique Pte Ltd services are Credit/Debit Card, Google Pay, Apple Pay and Stripe.

Simply Unique Pte Ltd does not store and/or hold your credit/debit card details in our systems. All credit card transactions will be processed through a secured e-payment system service provider.

Simply Unique Pte Ltd reserves the right to request payment of fees or charges for your purchases of any Products and/or Services offered by Simply Unique Pte Ltd. Customer agree to pay all applicable charges or fees, as described on the App and Website in relation to such Products and/or Services at the time of booking which you have selected or purchased.

Simply Unique Pte Ltd may, at its sole discretion, establish invoicing processes for corporate and/or other customers.

The currency of payment is in Singapore Dollars, Malaysian Ringgit and US Dollars.

Simply Unique Pte Ltd charges are inclusive of taxes unless otherwise specified.

Prices and charges quoted on the App and Website may be subject to change. Prices and charges may be adjusted and revised at the discretion of Simply Unique Pte Ltd without prior notice.

MODIFICATION, CANCELLATION AND REFUND POLICY

• MODIFICATION
  The eSIM data packages from Simply Unique Pte Ltd are offered as-is, and no further modifications or customisation can be made based on individual requests once purchased.
  
  
• CANCELLATION / REFUND
  For any accidental purchases, once the customer purchased/installed the eSIM, it will be considered as used. No refund will be offered.

The Customer has the right to ask for a refund or eSIM-replacement if the eSIM cannot be installed and used due to a technical problem from Simply Unique Pte Ltd.

Each data package has its own validity period. Failure to utilise the Product and/or Services during relevant period(s), no refund of any form will be offered for the remaining data when the validity period expires. All fees and charges paid are not refundable.

No refund or remuneration of any kind will be issued due to charges from alternate phones, alternate providers, hotel phones, or other charges that are not directly linked to the Customer’s Simply Unique Pte Ltd eSIM account.

For any fraudulent or unauthorised purchases, Simply Unique Pte Ltd reserves the right to refuse any form of refund and suspend any account if there is evidence of abuse, violation of our Terms and Conditions, or any fraudulent activity connected with using Simply Unique Pte Ltd products and services.

LIABILITY AND WARRANTY

Simply Unique Pte Ltd makes no warranties, guarantees or representations, either expressed or implied, regarding the App, Website, Products and/or Services, including but not limited to the availability, suitability for any particular purpose of the Products and/or Services furnished under this agreement or the App or Website.

By using the App, Website, Products and/or Services, you agree that you shall defend, indemnify and hold Simply Unique Pte Ltd and its affiliates, officers, directors, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs and/or regulatory action) arising out of or in connection with:

• Customer use of the App, Website, Products and/or Services in your dealings with the third-party service providers, third party merchants, providers, advertisers and/or sponsors.
• Customer violation or breach of any of the Terms or any applicable law or regulation, whether or not referenced herein.
• Customer violation of any rights of any third party, including third party service providers arranged via the App, Website, Products and/or Services.
• Customer use or misuse of the App, Website, Products and/or Services. This indemnity provision shall survive the termination of this agreement.
• Simply Unique Pte Ltd shall not be liable for any indirect, special, incidental or consequential losses which Customer or any person for whom you have booked the Products and/or Services might have incurred, or for any direct or indirect loss of profits, revenue, goodwill, opportunity, business, data or use, arising under this agreement under any cause of action; even if such losses were reasonably foreseeable or Simply Unique Pte Ltd had been advised of the possibility of the same.
• The App, Website, Products and/or Services may be subject to limitations, delays and other problems inherent in the use of the internet and electronic communications including any device used by Customer being faulty, not connected, out of range, switched off, or otherwise not functioning. Simply Unique Pte Ltd shall not be responsible for any delays, delivery failures, damages or losses resulting from such problems.
• In the event that Simply Unique Pte Ltd detects possible fraud in your use of the App, Website, Products and/or Services, Simply Unique Pte Ltd reserves the right to immediately disconnect or deactivate the Products, Services, App or Website at any time and without any notice to Customer, and Simply Unique Pte Ltd shall have no liability whatsoever to Customer for such disconnection or deactivation.
• Different models or versions of browsers and devices may have firmware or settings that are not compatible with the App, Website and/or the associated software. While we continuously develop the App, Website and/or the associated software in order to, as far as possible, support all commonly used devices and models in markets and all browsers where the App and Website are likely to be accessed from, we do not warrant compatibility of the App, Website and/or the associated software with specific mobile devices or other hardware.

DISCOUNT AND PROMOTION CODES AND DEALS

The following terms shall apply to the use of credits, e-vouchers, promotional codes and coupons (if any) (collectively referred to as “promo codes”).

• Simply Unique Pte Ltd may run promotions, contests, surveys and other programmes from time to time where these activities are subject to additional terms and conditions which will be made available on the App, Website, Simply Unique Pte Ltd’s other marketing platforms, or other social media channels. Such additional terms and conditions are hereby incorporated by reference into these Terms.
• Promotions, privileges, contests and programmes are only valid for the period as specified and stated by Simply Unique Pte Ltd in the relevant terms and conditions as well as on a whilst-stocks-last basis. No compensation will be paid in the event the promotion is no longer valid or the stocks in question have run out. All requests or bookings made before or after the relevant validity periods for the promotions, contests and programmes shall be invalid.
• Promo codes are only eligible for use during the programme’s validity period as and when specified by Simply Unique Pte Ltd in the relevant terms and conditions. You agree to abide by all additional terms and conditions applicable to the relevant programmes, including but not limited to terms on the use of the promo codes.
• Use of the promo codes must be indicated at the time of purchase or check out and, unless otherwise stated, all information or documents required by Simply Unique Pte Ltd must be provided. No retroactive use of the promo codes shall be permitted.
• Promo codes cannot be used in conjunction with any other promotion, voucher coupon, deal or offer including but not limited to discounts unless otherwise stated.
• Promo codes cannot be refunded, redeemed or exchanged for cash.
• In the event that any promo codes are lost, misplaced, stolen, destroyed, duplicated, tampered with, or otherwise misappropriated or fraudulently used, Simply Unique Pte Ltd will not issue replacement promo codes.
• Simply Unique Pte Ltd reserves the right, at its sole discretion, to remove, vary or impose additional terms and conditions on the use of the promo codes, as it deemed appropriate from time to time by posting the varied or additional terms and conditions on the App and/or Website.
• All decisions by Simply Unique Pte Ltd on matters relating to contests, promotions, discounts, promo codes and other privileges or programmes are final and binding.
• Simply Unique Pte Ltd reserves the right to discontinue any contests, promotions, discounts, promo codes and other privileges or programmes at any time without notice or liability.

APPLICABLE LAWS AND ARBITRATION

This Contract is made and will be performed in Singapore and shall be governed by and construed in accordance with Singapore law, excluding its conflict of law rules. By executing this Contract, you consent to the exercise of personal jurisdiction over it by, and venue in, the courts of the Singapore. Any legal action in connection with this Contract shall be brought and maintained only in the courts of the Singapore, and only in Singapore. In the event of litigation arising from or associated with this Contract, we agreed that the prevailing party shall recover its attorney’s fees and any cost incurred.

Should collection action become necessary, in the sole discretion of Simply Unique Pte Ltd, all costs associated with that collection action, including attorney’s fees, will be posted to the Customer’s account.
